Company succession realised: LW·P Lüders Warneboldt accompanies successful sale of S&A Schaltanlagenbau GmbH to Caverion Germany

S&A Schaltanlagenbau GmbH from Garbsen near Hanover was taken over by Caverion Germany on 1 April 2026. LW·P Lüders Warneboldt provided comprehensive support for the transaction process as part of an interdisciplinary mandate in the areas of management consulting and legal advice.

Our support included the preparation and implementation of the sales process – from obtaining and negotiating non-binding offers with two strategic investors identified by the client in advance to coordinating the acquisition review and supporting the contract negotiations. Legal advice was provided both in the preparatory phase and in the drafting of the purchase agreement.

One particular challenge was the spin-off of pension provisions for the managing partner. The client’s tax and actuarial advisors were able to develop a suitable solution for this and implement it as part of the purchase agreement.

The transaction was successfully completed on 31 March 2026 as part of a share deal. The company name S&A Schaltanlagenbau GmbH will remain unchanged; the company will continue to operate as an independent branch of the Caverion Group. The previous co-owner will remain operationally active and will continue to manage the company as Managing Director.
